Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Citeroot website, applications and services (the "Service") provided by Citeroot Labs, Inc. ("Citeroot", "we"). By creating an account or using the Service you agree to these Terms.

#1. Accounts

You must provide accurate information, keep your credentials secure and be responsible for activity under your account. You must be at least 18 years old and able to form a binding contract. If you use the Service for an organisation, you confirm you have authority to bind it.

#2. The Service

Citeroot records and analyses outputs of third-party AI systems and audits websites you are authorised to audit. We may change, add or remove features. We don't guarantee any particular result, including that any AI system will mention, cite or recommend you.

#3. Your content and data

You retain ownership of the prompts, domains, files and other data you submit ("Customer Data"). You grant us a limited licence to process Customer Data to provide the Service. We do not use Customer Data to train machine-learning models. Outputs collected from third-party AI systems are provided as recorded and may be inaccurate; you are responsible for how you use them.

#4. Acceptable use

You must follow our Acceptable Use Policy. You may only audit websites you own or are authorised to audit.

#5. Plans, fees and taxes

Paid plans are billed as described at checkout and on the pricing page. Fees are exclusive of taxes unless stated. Trials convert to a free plan unless you subscribe. See the Refund Policy and Cancellation Policy.

#6. Third-party services

The Service depends on third-party providers (for example model providers and analytics platforms). Their availability and terms are outside our control. Where you connect your own accounts or keys, you are responsible for complying with those providers' terms.

#7. Intellectual property

We and our licensors own the Service and its underlying technology. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you give us may be used without obligation.

#8. Confidentiality and privacy

Each party will protect the other's non-public information with reasonable care. Our handling of personal data is described in the Privacy Policy and, for business customers, the DPA.

#9. Warranties and disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

#10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, and our total liability for claims relating to the Service is limited to the amounts you paid us in the 12 months before the claim.

#11. Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach or legal reasons. On termination your right to use the Service ends; we will make Customer Data available for export for a reasonable period unless prohibited by law.

#12. Changes

We may update these Terms. We'll give notice of material changes. Continued use after the effective date constitutes acceptance.

#13. Governing law

These Terms are governed by the laws of [Governing jurisdiction], without regard to conflict-of-law rules. Disputes will be resolved in the courts of [Venue].
